EternaEX provides AI development services, including but not limited to:

• Custom AI solution development
• Web and mobile application development
• AI consulting and strategy services
• Technical support and maintenance
• Training and documentation services

3. Service Agreements

Specific terms for development projects will be outlined in separate service agreements or statements of work. These Terms supplement, but do not replace, project-specific agreements.

4. User Responsibilities

You agree to:

• Provide accurate and complete information
• Cooperate in good faith during project development
• Provide timely feedback and approvals
• Respect intellectual property rights
• Use our services only for lawful purposes
• Not interfere with or disrupt our services

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payment schedules are agreed upon before project commencement
• Late payments may incur additional charges
• Refunds are subject to the terms of individual agreements
• All fees are exclusive of applicable taxes

6. Intellectual Property

Client-Owned IP

Upon full payment, clients retain ownership of custom-developed solutions, subject to our retained rights in pre-existing technologies and methodologies.

EternaEX IP

We retain ownership of our proprietary methodologies, frameworks, and pre-existing intellectual property used in delivering services.

7. Confidentiality

We maintain strict confidentiality regarding client information and project details. We may require separate non-disclosure agreements for sensitive projects.

8. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. However:

• We do not guarantee specific business outcomes or results
• Technology solutions may require ongoing maintenance and updates
• Third-party integrations are subject to their respective terms
• We disclaim warranties beyond those expressly stated

9. Limitation of Liability

Our liability for any claims arising from our services is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

10. Project Timeline and Changes

Project timelines are estimates based on agreed scope. Timeline adjustments may be necessary due to:

• Scope changes or additional requirements
• Delays in client feedback or approvals
• Technical challenges or third-party dependencies
• Force majeure events

11. Termination

Either party may terminate services with written notice. Upon termination:

• Payment is due for work completed to date
• Each party retains their respective intellectual property
• Confidentiality obligations continue
• Work products delivered and paid for remain with the client

12. Support and Maintenance

Post-delivery support terms will be specified in project agreements. Support may include:

• Bug fixes and technical support
• System updates and maintenance
• Training and documentation
• Performance monitoring and optimization

13. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes will be resolved through binding arbitration or in the courts of Dhaka, Bangladesh.

14. Changes to Terms

We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the updated Terms.
